1. Agreement to Terms

These Terms & Conditions (“Terms”) govern access to and use of the Velixo Partner Portal (the “Portal”) and related services (the “Services”) provided by Velixo (“Velixo,” “we,” “us,” “our”).

By accessing or using the Services, you (“you,” “User”) agree to these Terms on behalf of yourself and, if applicable, the organization you represent (“Partner”). If you do not agree, do not use the Services.

2. Eligibility and Authority

You represent that:

  • You are at least the age of majority where you reside; and
  • You have authority to bind your Partner to these Terms, or you are authorized by your Partner to use the Services.

3. Portal Access, Accounts, and Security

3.1 Account Issuance. Access may be limited to approved partners/resellers and their authorized users.

3.2 Credentials. You must keep credentials secure, not share accounts, and promptly notify Velixo of suspected compromise.

3.3 Administrative Controls. Partner administrators may manage user access. Velixo may suspend access for security or compliance reasons.

4. Permitted Use

You may use the Services only for their intended business purpose, including participation in the Velixo partner program, accessing partner resources, managing partner activities (such as deal registration), and collaborating with Velixo, and only in accordance with these Terms and applicable law.

5. Prohibited Use (Acceptable Use)

You must not, and must not attempt to, directly or indirectly:

Security / Misuse

  • Access the Services in any way that is unauthorized or violates any security measures.
  • Probe, scan, or test the vulnerability of any system or network.
  • Bypass or attempt to bypass authentication, access controls, rate limits, or usage restrictions.
  • Introduce malware, ransomware, viruses, or other harmful code.
  • Interfere with or disrupt the Services (e.g., DDoS, automated abusive traffic).

Data / Privacy

  • Access, collect, or use data from the Services beyond what you are permitted to access.
  • Scrape or harvest data, including automated extraction of content, except as expressly authorized in writing.
  • Attempt to re-identify anonymized data, or deanonymize/derive sensitive information.

Reverse Engineering / Competitive Misuse

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover source code or underlying components (except to the extent prohibited by law).
  • Use the Portal to build or improve a competing product or service, or for competitive benchmarking without written permission.

Abuse

  • Use the Services for hacking, intrusion attempts, or exploitation.
  • Use the Services to transmit unlawful, infringing, defamatory, or harmful content.

Velixo may investigate suspected violations and may suspend or terminate access immediately.

6. Monitoring, Diagnostics, and Session Replay

To maintain quality, reliability, and security, Velixo collects usage and diagnostic data, including through:

  • Azure Application Insights (telemetry, performance, errors, reliability metrics), and
  • LogRocket (session replay and QA diagnostics).

You acknowledge and agree that:

  • Velixo may monitor and log activity to operate, secure, troubleshoot, and improve the Services; and
  • These tools are used for quality assurance, debugging, performance, and security purposes.

7. Partner-Only Content and Confidentiality

The Portal may contain partner-only materials (including pricing guidance, roadmaps, training, internal processes, and other non-public resources). You agree to:

  • Treat partner-only materials as Confidential Information;
  • Restrict access to authorized users within your Partner organization; and
  • Not disclose or publish such materials without Velixo’s prior written consent.

If you have signed a separate NDA or partner agreement with Velixo, that agreement governs confidentiality to the extent of any conflict.

8. User Content and Submissions

If you submit information through the Portal (e.g., deal registrations, leads, support tickets):

  • You represent you have rights/permissions to submit it; and
  • You grant Velixo a non-exclusive right to use it to operate the Services and support the partner relationship.

Do not submit sensitive personal information unless necessary and authorized.

9. Intellectual Property

The Services, including all software, designs, text, graphics, and other content, are owned by Velixo or its licensors and are protected by IP laws. Velixo grants you a limited, revocable, non-transferable, non-sublicensable license to use the Services as permitted by these Terms.

10. Third-Party Services

The Services may integrate with third-party platforms or include links to third-party sites. Velixo is not responsible for third-party services, and your use is governed by their terms.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VELIXO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VELIXO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VELIXO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES.

VELIXO’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED CAD $1,000,000 OR THE AMOUNTS PAID BY PARTNER FOR THE SERVICES IN THE [12] MONTHS PRECEDING THE EVENT, WHICHEVER IS GREATER (IF APPLICABLE).

13. Indemnification

You agree to defend, indemnify, and hold harmless Velixo from claims arising out of:

  • Your use of the Services in violation of these Terms, or
  • Your submitted content, data, or materials.

14. Suspension and Termination

Velixo may suspend or terminate access immediately if:

  • You violate these Terms,
  • Your use poses a security risk, or
  • Required by law or to protect the Services.

Upon termination, your license ends and you must stop using the Services. Certain sections survive termination (e.g., confidentiality, IP, disclaimers, limitation of liability).

15. Changes to the Services or Terms

Velixo may modify the Services or these Terms. Material changes will be posted with an updated Last Updated date. Continued use after changes means you accept the updated Terms.

16. Governing Law and Venue

These Terms are governed by the laws of the province of Quebec, Canada, excluding conflict-of-law rules. Any disputes will be brought in the courts located in Montreal, QC, unless mandatory consumer laws apply (if applicable).
